The Fund will offer a range of financing products in the form of equity, debt and guarantee instruments. Specific products of the Fund may include the following:
- Senior Debt Products - The Fund may provide Senior Debt either on a stand-alone basis or with one or more co-lenders. The Fund can be a co-lender by joining a predetermined group of co-lenders in a project or through a syndicated deal, structured and negotiated by a lead arranger who then shares with other co-lenders in the syndicate. The Fund may choose to play the lead role in a syndicated transaction or choose to join in a transaction arranged by a reputable institution.
- Other Products - The Fund may offer bridge financing on customary terms to Investees on the basis that such financing will be converted to a term loan consistent with the Fund’s investment policy. In order for the Fund to achieve its objectives and provide the best risk-adjusted returns possible, it shall follow the investment terms set forth in its Investment Policy Statements. Also the Fund shall offer a range of financing products in the form of equity, debt offering and co-investments through vehicles such as public-private-partnership and special purpose vehicles. Specifically, the Fund will offer other financing products such as mezzanine, subordinated debt and preferred equity or convertible instruments. GIIF shall not provide any guarantee or surety, whether of payment or performance, to or on behalf of the interest, rights or obligations of any person, company or other entity involved or participating in or related to an infrastructure project, other than a wholly owned subsidiary or affiliate of the Fund. In conjunction with the Investment and Risk Management Policies, there shall be a maximum limit of equity-like investments in the overall portfolio.
